KidStocks Terms of Service
Welcome to KidStocks. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and KidStocks, Inc. (“KidStocks,” “we,” “us,” or “our”) governing your access to and use of the KidStocks mobile application, website, and all related services (collectively, the “Service”).
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Overview of the Service
KidStocks is a technology platform that enables adults to gift fractional shares of stock to children through custodial brokerage accounts. KidStocks also provides educational content and AI-powered financial literacy tutoring features designed for young learners.
2. Eligibility
2.1 Account Holders
To create an account on KidStocks, you must:
- Be at least 18 years of age;
- Be a legal resident of the United States or a U.S. territory;
- Have a valid Social Security Number or Individual Taxpayer Identification Number;
- Have the legal authority to enter into these Terms;
- Not be barred from using the Service under applicable law.
2.2 Custodial Accounts for Minors
KidStocks facilitates the creation of custodial accounts for minors (individuals under the age of 18) under the Uniform Transfers to Minors Act (UTMA) or Uniform Gifts to Minors Act (UGMA), as applicable in your state. By opening a custodial account, you represent and warrant that:
- You are the parent, legal guardian, or authorized custodian of the minor;
- You have the legal authority to act on behalf of the minor;
- You understand that assets gifted to a custodial account are irrevocable gifts to the minor;
- You will manage the custodial account in the best interest of the minor beneficiary.
2.3 Verification
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We may require identity verification, including but not limited to government-issued identification, Social Security Number verification, and address verification, to comply with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations.
3. Account Creation and Security
3.1 Account Registration
To use certain features of the Service, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activities that occur under your account;
- Notifying us immediately of any unauthorized access or use of your account.
3.2 Account Security
We implement industry-standard security measures, including encryption of data at rest and in transit. Your personal and financial data is stored in encrypted databases. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
3.3 One Account Per Person
Each individual may maintain only one KidStocks account. We reserve the right to suspend or terminate duplicate accounts.
4. Brokerage Services and Alpaca
4.1 Brokerage Provider
All brokerage services are provided by Alpaca Securities LLC, a registered broker-dealer and member of:
- Financial Industry Regulatory Authority (FINRA)
- Securities Investor Protection Corporation (SIPC)
KidStocks acts solely as a technology interface that connects you with Alpaca’s brokerage services. KidStocks does not:
- Execute securities transactions;
- Hold or custody client funds or securities;
- Provide investment advice or recommendations;
- Act as a broker-dealer or investment adviser.
4.2 Alpaca Agreement
By using the Service to open a brokerage account, you will be required to agree to Alpaca’s Customer Agreement and related disclosures. Your relationship with Alpaca is separate from and in addition to your relationship with KidStocks. In the event of a conflict between these Terms and Alpaca’s Customer Agreement regarding brokerage services, Alpaca’s terms shall govern.

5. Investment Risks and Disclaimers

5.2 Investment Risks
Investing in securities involves risk, including the potential loss of principal. You acknowledge and agree that:
- The value of securities may fluctuate and you may lose some or all of your investment;
- Past performance is not indicative of future results;
- Fractional shares may have limited liquidity;
- You are solely responsible for your investment decisions;
- KidStocks does not guarantee any investment outcomes.
5.3 Educational Content and AI Tutoring
KidStocks provides educational content and AI-powered tutoring features designed to teach financial literacy concepts to children. This content:
- Is for educational purposes only;
- Does not constitute investment advice or a recommendation to buy or sell any security;
- May be generated by artificial intelligence and may contain inaccuracies;
- Should not be relied upon as the sole basis for any financial decision.
5.4 Tax Considerations
Gifts of securities to custodial accounts may have tax implications, including but not limited to gift tax, the “kiddie tax,” and capital gains tax. KidStocks does not provide tax advice. You are encouraged to consult a qualified tax professional regarding your specific situation.
6. Payment Terms
6.1 Payment Processing
Payment processing services are provided by Stripe, Inc. (“Stripe”). By making payments through the Service, you agree to Stripe’s Terms of Service and Privacy Policy.
6.2 Fees
KidStocks may charge fees for certain services, which will be clearly disclosed before you incur them. Fees may include, but are not limited to:
- Transaction fees on stock gifts;
- Subscription fees for premium features;
- Service fees for account maintenance.
We reserve the right to modify our fee structure with 30 days’ prior notice to you.
6.3 Funding and Withdrawals
Funds used to purchase securities are transferred through Stripe to your Alpaca brokerage account. Processing times may vary. KidStocks is not responsible for delays caused by third-party payment processors or banking institutions.
6.4 Refunds
Due to the nature of securities transactions, purchases of stocks are generally non-refundable once executed. Refund requests for other services will be evaluated on a case-by-case basis.
7. User Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Provide false, misleading, or inaccurate information;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Use the Service to engage in market manipulation, fraud, or money laundering;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or disassemble any aspect of the Service;
- Use automated systems, bots, or scrapers to access the Service without our written permission;
- Circumvent any security or access controls.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by KidStocks or its licensors and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
8.3 User Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without obligation to you.
9. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
We store your data in encrypted databases and implement commercially reasonable security measures to protect your information. For more details, please review our Privacy Policy.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIDSTOCKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; ANY INVESTMENT LOSSES OR DIMINUTION IN VALUE OF SECURITIES; OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
10.3 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KIDSTOCKS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless KidStocks, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any third party’s rights;
- Any content you submit or transmit through the Service.
12. Dispute Resolution
12.1 Binding Arbitration
You and KidStocks agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
12.2 Class Action Waiver
YOU AND KIDSTOCKS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
12.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
12.4 Opt-Out
You may opt out of this arbitration provision by sending written notice to legal@kidstocks.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
13. Termination
13.1 Termination by You
You may terminate your KidStocks account at any time by contacting us at support@kidstocks.com. Termination of your KidStocks account does not automatically close your Alpaca brokerage account. You must separately contact Alpaca to close your brokerage account and liquidate or transfer any securities.
13.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to:
- Violation of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Failure to comply with identity verification requirements;
- Extended period of inactivity;
- At the request of law enforcement or regulatory authorities.
13.3 Effect of Termination
Upon termination:
- Your right to use the Service will immediately cease;
- Any pending transactions may be canceled;
- You remain responsible for any obligations incurred prior to termination;
- Sections that by their nature should survive termination shall survive, including but not limited to Sections 5, 8, 10, 11, 12, and 14.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware.
15. FINRA and Regulatory Disclosures
15.1 Brokerage Relationship
Your brokerage account is maintained by Alpaca Securities LLC, a registered broker-dealer and member of FINRA/SIPC. KidStocks is not a member of FINRA or SIPC.
15.2 SIPC Coverage
15.3 Not FDIC Insured
15.4 Regulatory Complaints
If you have a complaint regarding your brokerage account, you may contact Alpaca Securities LLC directly. You may also file a complaint with FINRA at www.finra.org or the SEC at www.sec.gov.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and KidStocks regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 Notices
We may provide notices to you via email, push notification, or by posting on the Service.
16.6 Force Majeure
KidStocks shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.
16.7 Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
